Tunis Re: Capital Increase from TND 100 Million to TND 200 Million to Support Regional Development

Tunis Re held a financial communication on Friday, September 11, 2026, led by its Chief Executive Officer, Ms. Lamia Ben Mahmoud, focusing on a major strategic transaction: the doubling of the company’s share capital, from TND 100 million to TND 200 million.

📌 Key features of the transaction

The capital increase, amounting to a total of TND 100 million, will be carried out as follows:

  • 🔸 TND 25 million through a free allocation of new shares, at a ratio of one new share for every four existing shares;
  • 🔸 TND 75 million through a cash subscription, at a price of TND 8 per share, at a ratio of three new shares for every four existing shares;
  • 🔸 Transaction timetable: exercise of preferential subscription rights from September 15 to October 2, 2026, a redistribution period from October 12 to October 16, 2026, followed by a public offering from October 26 to October 30, 2026.

A strategic lever for regional expansion

🎯 Beyond strengthening its equity base, the transaction is intended to consolidate Tunis Re’s financial position and support the company’s continued expansion across increasingly demanding MENA markets.

The company notably aims to strengthen its presence in high-potential markets, particularly Egypt, Jordan and Kuwait.

With more than 50% of its revenue generated internationally, Tunis Re is continuing to strengthen its regional positioning and enhance its capacity to support its partners across its various markets.

A transaction aligned with the 2026–2030 Development Plan

This capital increase is fully aligned with Tunis Re’s 2026–2030 Development Plan, whose key financial ambitions include:

  • 🔹  Average annual revenue growth of 10.8%;
  • 🔹  Shareholders’ equity reaching TND 528.9 million by 2030;
  • 🔹  An average solvency margin of 188%.

Through this transaction, Tunis Re is strengthening its financial resources to support its growth ambitions and further consolidate its regional footprint.
